Legal Information

General Terms and Conditions of Sale

Working version of September 22, 2026

Draft to be completed and validated before publication. Mentions in square brackets identify information remaining to be confirmed. This document does not yet constitute the final contractual version.

These conditions concern purchases made by consumers on the Genio webapp. They are supplemented by the characteristics and specific conditions of the offer presented before each order. They do not concern professional contracts negotiated separately.

1. Seller and contact

The seller is [PLACEHOLDER], of legal form [PLACEHOLDER], identified under number [PLACEHOLDER], with its registered office at [PLACEHOLDER].

Customer service email: [PLACEHOLDER]. Phone: [PLACEHOLDER].

Registration register and references: [PLACEHOLDER]. Applicable VAT: [PLACEHOLDER]. Complaint and return address: [PLACEHOLDER].

2. Products, services and availability

Genio offers, depending on the country and the selected offer, digital wellness and nutrition services, an AI assistant, subscriptions, meals and complementary services. Some offers may include support, teleconsultation or tests carried out by a partner. Only the elements explicitly included in the summary are part of your purchase.

Availability depends notably on your country, your address and the provider's capabilities. The characteristics, quantities, ingredients and allergens of food products, access methods, technical prerequisites and deadlines are indicated on the offer or before payment. A simple translation of the site does not mean that all offers are available in that country.

[PLACEHOLDER]

3. Order and contract formation

You select your offer, fill in the necessary information, check the summary and correct any errors before validating an order involving a payment obligation. The summary distinguishes one-time purchases, recurring payments, taxes and delivery fees.

The confirmation must specify the items purchased, the price, the date of conclusion and the applicable conditions on a durable medium that you can keep. These GTC must be accessible before validation. Taking note of the privacy policy does not constitute a general consent to the processing of health data.

[PLACEHOLDER]

4. Price and payment

The total amount, currency, applicable taxes and fees are displayed before payment. Prices may vary depending on the country, options and periodicity. The order is invoiced based on the accepted summary. A catalog evolution does not retroactively modify an order.

Payment is made using the solutions offered at the payment stage, notably Lyra when this provider is activated. The data necessary for the transaction is processed by the payment provider according to its role and documentation. In case of failure, check the order status before renewing payment and contact customer service if in doubt.

Any evolution of an existing subscription must comply with the announced terms and the imperative rights of the consumer; no general authorization to unilaterally modify the price is given by these GTC.

5. Subscription, commitment and termination

The summary of your offer indicates the monthly or annual periodicity, the recurring amount, any minimum commitment period and the renewal conditions. Tests or other options identified as one-time purchases are not assimilated to monthly payments.

The termination request is accessible from your subscription area. Its effective date depends on the subscribed offer and the remaining commitment, subject to legal rights of early termination. Termination should not be confused with the right of withdrawal or with account deletion. Legally due amounts and refund rights are assessed separately.

[PLACEHOLDER]

6. Delivery, meals and performance of services

The address, delivery or collection method, costs and agreed deadline are specified before the order. The actually available methods depend on the products and the served area. Risks are transferred according to the applicable imperative rules, in principle upon physical possession of the good.

Upon receipt of a meal, check its condition and respect the storage, expiry date and preparation instructions. If packaging is damaged or if product safety appears compromised, do not consume it and contact customer service. Prompt reporting facilitates processing without reducing your legal guarantees. Nutritional recommendations do not replace checking for allergens.

In case of delay or non-performance, you have the remedies provided by law, including, depending on the circumstances, performance within an additional period, contract termination and refund.

[PLACEHOLDER]

7. Right of withdrawal

When a right of withdrawal applies, you generally have 14 days to notify your decision without justification: from the conclusion for services and from receipt for goods, subject to specific rules for multiple deliveries. You can write to [PLACEHOLDER] or to the seller's address, identifying your order. The form below is optional; an unequivocal declaration is sufficient.

Goods must generally be returned within 14 days of notification. Direct return costs are at your expense only if you were informed before purchase. The refund includes standard delivery costs and occurs within the legal period, generally 14 days after notification; for goods, it may be deferred until recovery or proof of shipment. The initial method is used unless expressly agreed otherwise without charge.

The exception relating to goods liable to deteriorate or expire rapidly may concern certain meals. It does not remove guarantees for a non-conforming product. A sealed good falls under the hygiene exception only in the presence of legal conditions and after opening. These exceptions are not applied indiscriminately to the entire basket.

Starting a service during the period requires your express request when the law provides for it. A sum proportionate to the service provided may then be due in case of withdrawal, under legal conditions. The loss of the right for a fully executed service or digital content without material support requires the specific agreements and information required by law; acceptance of the GTC does not replace them.

8. Model withdrawal declaration form

To the attention of [PLACEHOLDER], [PLACEHOLDER] — [PLACEHOLDER].

I hereby notify you of my withdrawal from the contract for the following good or service: [PLACEHOLDER].

Order number: [PLACEHOLDER]. Ordered on / received on: [PLACEHOLDER].

Consumer's name and address: [PLACEHOLDER].

Date: [PLACEHOLDER]. Consumer's signature only in case of paper submission.

[PLACEHOLDER]

9. Legal guarantees and after-sales service

You benefit from the legal guarantees applicable to goods, digital content and services. A contractual clause, an AI recommendation or an intervention by a partner cannot remove them. Depending on the applicable regime, remedies include notably free conformity, replacement, a price reduction or contract termination. Rights relating to hidden defects remain preserved where applicable.

For digital services provided continuously, conformity obligations are assessed during the contractual supply period. Necessary updates and compatibility conditions must be specified according to the service sold. Address your requests to the seller by describing the problem and the order; do not transmit a health record for a simple commercial complaint.

[PLACEHOLDER]

10. Use of services and responsibility

The Genio assistant provides wellness and nutrition information that may contain errors. It does not replace a diagnosis or a decision by a health professional and should not be used to manage an emergency. Health professional services, when offered, must be identified separately with their own conditions.

You are invited to provide accurate information and protect your access. These precautions do not exempt Genio from its obligations. No clause excludes liability when the law prohibits such exclusion, notably for personal injury, fraud or imperative guarantees.

11. Complaints, mediation and applicable law

First address your complaint to [PLACEHOLDER] indicating the order and the desired solution. If the dispute persists, you can resort to applicable out-of-court mechanisms and competent jurisdictions.

[PLACEHOLDER]

The seller's Spanish headquarters does not deprive you of the imperative protection of your country of residence when the legal conditions are met. No exclusive jurisdiction of the Barcelona courts is imposed on the consumer. The eventual choice of an applicable law must be validated according to the targeted markets.

12. Versions and contract retention

The applicable conditions are those presented at the time of the order, subject to imperative legal rules. You can keep or print this document. A new version does not retroactively replace the commitments of an existing order.
